Dilli Legal document
Terms & Conditions
Please read these Terms and Conditions (the "Terms") and our Privacy Policy carefully. They govern your use of the website https://www.dilli.it/ (the "Website") and the services provided through Dilli (collectively, the "Services"). These Terms are between you and Marco Magni, a sole proprietor with VAT number (P.IVA) 13970760966 ("Marco Magni," "we," "us," or "our").
By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Agreement to Terms
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity. If you lack such authority, you may not use the Services.
2. Privacy Policy
Our Privacy Policy, available at https://www.dilli.it/privacy, explains how personal data is processed through the Services. It does not replace any privacy information a business must provide for a campaign it operates.
3. Changes to Terms or Services
We may update these Terms at our discretion. We will notify you of material changes by posting the updated Terms on the Website or via email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services. We may modify or discontinue any part of the Services at any time without notice, at our sole discretion.
4. Eligibility
To use the Services, you must:
Be at least 18 years old and capable of entering into a legally binding contract.
Not be prohibited from using the Services under applicable law.
Provide accurate, complete, and up-to-date account information if you create an account.
Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use at TheMMCompany@protonmail.com. You are responsible for all activities under your account.
5. Subscriptions and Payments
5.1 General
Some features require a paid subscription ("Subscription"). Creating a free Dilli account requires no payment card and does not automatically start a paid subscription. The available free usage and product limits are displayed in the Services. Reaching a limit does not itself create a charge. A paid Subscription starts only when you expressly complete the paid checkout. The checkout displays the applicable price, currency, billing interval, and taxes before confirmation.
5.2 Payment Authorization
When you expressly purchase a Subscription, you authorize our payment processor to charge your selected payment method for the amounts shown at checkout, including applicable taxes. You represent that you are authorized to use that payment method.
5.3 Recurring Payments
Recurring Subscriptions renew at the billing interval and price shown at checkout until canceled. By completing checkout, you authorize recurring charges on that basis. Any price or billing changes will be communicated as required by law. Cancellation or expiration may remove access to paid features.
5.4 Cancellation
You may request ordinary cancellation by contacting TheMMCompany@protonmail.com. Unless a different arrangement is expressly confirmed, ordinary cancellation takes effect at the end of the current paid billing period. Access continues until that period ends. Refund and withdrawal rights required by law are unaffected.
5.5 Free Trials
Free Dilli access does not require a payment card and does not automatically convert into a paid Subscription. If a separate card-based trial is offered in the future, its duration, price, billing and cancellation terms will be displayed before you accept it. Those terms will apply only if you expressly accept that specific offer.
5.6 Failed renewal payments
For an eligible paid Subscription renewal, a seven-day grace period begins on the first failed payment for that renewal. Later payment retries do not restart the grace period. If the renewal remains unpaid after the grace period, Pro access may be restricted. This grace period does not cancel the amount due, constitute a refund, or extend access after voluntary cancellation. Access is updated following successful payment according to the Subscription status.
5.7 Account deletion and subscription cancellation
Deleting your Dilli account is different from ordinary Subscription cancellation. When you confirm account deletion in account settings, Dilli requests immediate cancellation of Subscriptions linked to the account. Account deletion proceeds only after Stripe confirms cancellation. If confirmation cannot be obtained, your account is not deleted and you may retry. Immediate cancellation ends access. It does not automatically issue a refund. Applicable statutory rights and refund terms remain unaffected.
5.8 Right of Withdrawal (EU Consumers)
If you are an EU consumer, mandatory rights to withdraw from a distance contract, including any applicable exceptions or consequences when performance begins during the withdrawal period, are governed by applicable EU and Italian consumer law. To exercise a right of withdrawal or ask how it applies to your Subscription, contact TheMMCompany@protonmail.com. Nothing in these Terms limits a right that cannot lawfully be excluded.
6. Your Content
You are responsible for all content you upload, submit, or create through the Services ("Your Content"). You represent that Your Content does not violate any laws, infringe third-party rights, or breach these Terms. By submitting Your Content, you grant Marco Magni a non-exclusive, worldwide, royalty-free license to use, store, and process Your Content solely to provide and improve the Services.
7. Prohibited Uses
You agree not to:
Use the Services for any unlawful purpose or in violation of these Terms.
Infringe or misappropriate our or any third party’s intellectual property or other rights.
Interfere with or disrupt the Services, including through hacking, scraping, or automated means.
Use false or misleading information in connection with your account.
Circumvent any usage limits or restrictions set by us.
8. Intellectual Property
Marco Magni owns all rights, title, and interest, including intellectual property rights, in the Website, Services, and related materials (collectively, "Dilli Materials"). You are granted a limited, non-transferable, non-exclusive license to use the Services for your internal business or personal purposes, subject to these Terms. You may not copy, modify, reverse engineer, or create derivative works from Dilli Materials without our prior written consent.
9. Third-Party Services
The Services may include links to or integrations with third-party websites or services. We are not responsible for the content, availability, or practices of third-party services, and your use of them is at your own risk.
10. Feedback
If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant Marco Magni an unrestricted, worldwide, royalty-free right to use and implement such Feedback without compensation to you.
11. Termination
You may request deletion of your account through account settings. If an active Subscription is linked to your account, the process in Section 5.7 applies. We may suspend or terminate access for a legitimate reason, including a breach of these Terms, in accordance with applicable law. When your account closes, your right to use the Services ends. Provisions that by their nature should continue to apply remain in effect, including provisions on privacy, content, prohibited uses, intellectual property, feedback, liability, disputes, and general terms.
12. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or free of viruses or harmful components. Some jurisdictions (e.g., EU member states) do not allow certain warranty disclaimers, so these limitations may not apply to you.
13. Limitation of Liability
To the fullest extent permitted by law, Marco Magni and any affiliates, contractors, or agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, even if advised of the possibility of such damages. Our total liability for any claims related to the Services will not exceed the amount you paid for the Services in the 12 months prior to the claim, or €50 if no payment was made. EU consumer protection laws may provide additional rights that cannot be limited.
14. Indemnification
You agree to indemnify and hold harmless Marco Magni and any affiliates, contractors, or agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
Your use or misuse of the Services.
Your Content.
Your violation of these Terms or applicable laws.
Any infringement of third-party rights by you.
This obligation does not apply to claims arising from our willful misconduct or gross negligence.
15. Dispute Resolution and Governing Law
